These Terms of Service (“Terms”) apply to all services provided by VetsWeb.
By using VetsWeb’s services, you agree to these Terms, the Acceptable Use Policy (AUP), and the Service Level Agreement (SLA).
1. Introduction
- 1.1 These Terms govern your use of all VetsWeb services.
- 1.2 Customers are required to adhere to these Terms, the SLA, and the AUP at all times.
- 1.3 VetsWeb reserves the right to modify these Terms at any time, effective upon posting to www.vetsweb.us.
2. Finance & Billing
- 2.1 Payment Schedule – Payment for all services is required in advance before work begins. Contract periods are billed in 1–3 month increments, selected at signup. Unless otherwise stated, contracts automatically renew for the same term until cancelled
- 2.2 Maintenance Plans – Maintenance plans are billed monthly and auto-renew each month. Accounts must remain in “current” payment status before services will be rendered.
- 2.3 Out-of-Scope Work – Services outside the agreed-upon scope will be billed separately and charged to the payment method on file.
- 2.4 Failed Payments – In the event of a failed payment, customers will be notified and must update payment details to maintain service.
- 2.5 Invoices & Due Dates – Invoices are due upon receipt unless otherwise agreed in writing. Invoices more than 30 days past due incur a 5% late fee. Nonpayment beyond 45 days may result in account termination.
- 2.6 Pricing Changes – VetsWeb may adjust service pricing at any time.
- 2.7 Refunds – Setup fees are non-refundable. Hosting and server accounts are non-refundable and non-prorated.
3. Client Responsibilities
- 3.1 Content & Approvals – All SEO and content writing work will be submitted for client approval prior to publishing. Timely responses are required to avoid delays.
- 3.2 Google Ads – Clients must create and own their own Google Ads accounts and grant VetsWeb access. VetsWeb will not create or own the account.
- 3.3 Contact Information – Clients must maintain accurate contact information, including at least one email not hosted by VetsWeb.
- 3.4 Security – Clients are responsible for safeguarding passwords and notifying VetsWeb immediately if compromised.
4. Termination & Suspension
- 4.1 VetsWeb may suspend or terminate accounts without notice for violations of these Terms, the SLA, or the AUP.
- 4.2 Accounts terminated for nonpayment, breach of contract, or cancellation are not eligible for data recovery.
- 4.3 No Liability for Losses – In cases of cancellation, nonpayment, downtime, or hosting/server issues, VetsWeb is not responsible for lost revenue, customers, search rankings, or business opportunities.
5. Lawfulness
- 5.1 Customers may not use VetsWeb’s services in violation of any applicable laws, including those of the United States, Texas, or their local jurisdiction.
6. Warranties & Limitation of Liability
- 6.1 All services are provided “as is” without warranties of any kind, express or implied.
- 6.2 To the fullest extent permitted by law, VetsWeb disclaims all warranties, including implied warranties of merchantability or fitness for a particular purpose.
- 6.3 VetsWeb shall not be liable for direct, indirect, incidental, special, or consequential damages, including but not limited to loss of data, downtime, or lost business opportunities.
7. Indemnification
- 7.1 Customers agree to indemnify, defend, and hold harmless VetsWeb, its officers, employees,
and agents from any claims, liabilities, or expenses (including attorney’s fees) arising from:- Content or materials provided by the customer;
- Inaccurate information or false advertising;
- Use of services in violation of laws, these Terms, the SLA, or the AUP
8. Intellectual Property
- 8.1 All intellectual property rights, including ownership of deliverables, third-party materials, and designer tools, are governed by the Service Level Agreement.
9. Service Levels & Response Times
- 9.1 Service levels, performance targets, and expected response times are detailed in the Service Level Agreement and incorporated into these Terms by reference.
10. Governing Law & Dispute Resolution
- 10.1 These Terms are governed by and construed in accordance with the laws of the State of Texas, with venue in Montgomery County.
- 10.2 Any disputes shall be resolved in accordance with the dispute resolution process described in the Service Level Agreement.
11. Miscellaneous
- 11.1 VetsWeb may revise these Terms at any time without prior notice.
- 11.2 If any provision of these Terms is deemed unenforceable, the remaining provisions will remain in effect.
- 11.3 Continued use of services after changes are posted constitutes acceptance of the revised Terms.
